This web page represents a legal document and is the Terms and Conditions (Agreement) for our website www.fluentlanguage.co.uk,  (Website). By using our Website, you agree to fully comply with and be bound by the following Agreement each time you use our Website.

Privacy Notice

Online Course Purchase Terms and Conditions

By purchasing an online course, digital download, or digital product (hereinafter the “Programme”), you, the purchaser (hereinafter “Student”) enters an agreement with Kerstin Cable ("Course Provider") and agree to the following terms:

1. Course Deliverables

The Programme is an online course. Course Provider agrees to provide the content as promised on the Programme checkout page, which typically includes:

  • Video, written, and audio trainings covering the topic listed on the sales and checkout page

  • Supporting materials in PDF and/or ebook format 

The above descriptions represent a typical online course format. Student accepts that the course format will vary as outlined on each online course checkout and sales pages.

Student will retain access to the Programme for the life of the Programme, meaning for as long as Course Provider offers and maintains the Programme. Course Provider will provide Student with at least one month’s notice should Course Provider need to remove online access to the Programme. It is then Student’s responsibility to download all materials from the Programme before the retirement date noted by Course Provider.

2. Privacy Policy

Course Provider's Privacy Policy is hereby incorporated by reference into this agreement. Student understands that Course Provider will be providing educational content to Student and that Course Provider’s obligations under this Agreement exist only while Student is a paying member of the Programme and that Course Provider’s obligations will cease once Student or Course Provider cancels Student’s membership.

Student also understands that Course Provider is not providing one-on-one service on behalf of Student.

3. Payment

In consideration of Student’s access to the Programme, Student agrees to pay the purchase price as listed on the checkout page and student invoice.

Student hereby authorizes Course Provider to charge Student’s credit card or debit card automatically as part of Student’s payment plan.

4. Refunds

Due to the purchase granting Student immediate view, use, and download access to the Programme, Course Provider is not obliged to offer refunds or cancel the purchase. Refunds will not be given except where granted at Course Provider’s discretion as outlined on the checkout page and sales page (goodwill) or where required in accordance with UK Law. Student understands and agrees to this.

5. Cancellation

Student may not cancel their payments for the Programme and understands that they are responsible for paying for the Programme in full upon registration. Should Student fail to make timely payment, Course Provider may immediately suspend Student’s access to the Programme and pursue whatever remedies available to collect the balance owed.

Course Provider may cancel Student’s Programme at any time for any reason. 

 6. Intellectual Property

Course Provider owns the rights to all content in the Programme such as texts in the forms of guides, books, explanations and the like, as well as other videos, audio files, graphics, logos, images, downloads, and other like materials. Student’s participation in the Programme does not transfer any intellectual property rights to Student. Course Provider grants Student a single-use, non-exclusive, non-transferable, revocable license to any and all Programme content. Student agrees not to create any derivative works of the content found in the Programme.

7. Force Majeure

Course Provider shall not be liable or responsible to Student, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the Course Provider including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party’s workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.

 8. Independent Contractor

Nothing in this Agreement shall be construed to create a partnership, joint venture, employment, or agency relationship. Course Provider agrees only to provide Client with access to the Programme, which provides education and information. The information contained in the Programme, including any interactions with the instructors, is not intended as, and shall not be understood or construed as, professional advice.

 9. Severability

If any provision of this Contract shall be declared invalid or unenforceable, such provision shall be deemed eliminated from this Contract, and all remaining provisions shall continue in full force and effect.

10. Liability

Student agrees to absolve and do hereby absolves Course Provider of any and all liability or loss Student may suffer or incur as a result of use of the Programme and/or any information and resources contained in the Programme. Student agrees that Course Provider shall not be liable to you for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of the Programme.

 11. Warranty

Course Provider makes no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained in the Programme for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services, and related graphics are provided “as is” without warranty or condition of any kind. Course Provider and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.

12. Assignment

Student may not assign this Agreement without express written consent of Course Provider.

13. Modification

Course Provider may modify terms of this agreement at any time. All modifications shall be posted on the Course Provider’s website and purchasers shall be notified.

14. Indemnification

Student agrees to indemnify, defend, and hold harmless the Course Provider, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys’ fees) relating to or arising out of Student’s use of or inability to use the Programme and related services, any user postings made by Student, your violation of any terms of this Agreement or your violation of any rights of a third party, or Student’s violation of any applicable laws, rules or regulations. 

15. Dispute Resolution

Any dispute arising out of or in connection to this agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, which are deemed to be incorporated, by reference, into this clause. The seat, or legal place, of arbitration shall be Canterbury. The language of the arbitration shall be English. The number of arbitrators shall be one.

Choice of Law

This Agreement will be governed by and construed in accordance with the laws of the United Kingdom without regard to conflict of law principles. In addition, you agree to submit to the personal jurisdiction and venue of such courts. Any cause of action by you with respect to our Website or Service must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY AND IN THEIR ENTIRETY, AS USING, ACCESSING, AND/OR BROWSING OUR WEBSITE CONSTITUTES ACCEPTANCE OF THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO BE BOUND TO EACH AND EVERY TERM AND CONDITION SET FORTH HEREIN, PLEASE EXIT OUR WEBSITE IMMEDIATELY AND DO NOT USE, ACCESS, AND/OR BROWSE IT FURTHER.

Except as otherwise noted, this Agreement constitutes the entire and only Agreement between you and Fluent Language and supersedes all other Agreements, representations, warranties, and understandings with respect to our Website, Services, and the subject matter contained herein. However, for you to use our Website and/or Services, you may also be required to agree to additional terms and conditions. Those additional terms and conditions will be incorporated into this Agreement unless otherwise stated.
 

Privacy Notice

Our Privacy Notice is considered part of this Agreement and is available on this website. You must review our Privacy Notice by clicking on this www.fluentlanguage.co.uk/privacy-notice. If you do not accept and agree to be bound by all the terms of this Agreement, including the www.fluentlanguage.co.uk Privacy Notice, do not use this Website or our Services.

Arbitration

Any dispute arising out of or in connection to this agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration under the LCIA Rules, which are deemed to be incorporated, by reference, into this clause. The seat, or legal place, of arbitration shall be Canterbury. The language of the arbitration shall be English. The number of arbitrators shall be one.

No printout or electronic version of any part of our Website or Services may be used by you in any litigation or arbitration matter whatsoever under any circumstances.

Legal Compliance

You agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations regarding your use of our Website, Content, Services, and any software provided therein.

Our Relationship to You

This Agreement in no way creates any agency, partnership, joint venture, or employee-employer or franchisor-franchisee relationship between you and Fluent Language.

Our Intellectual Property

Our Website may contain our service marks or trademarks as well as those of our affiliates or other companies in the form of words, graphics, and logos. Your use of our Website or Services does not constitute any right or license for you to use our service marks or trademarks without the prior written permission of Fluent Language.

Our Content, as found within our Website and Services, is protected under United States and foreign copyrights. The copying, redistribution, use, or publication by you of any such Content is strictly prohibited. Your use of our Website and Services does not grant you any ownership rights to our Content.

Errors, Corrections, and Changes

We do not represent or otherwise warrant that our Website will be error-free or free from viruses or other harmful components, or that we will correct any errors. We do not represent or otherwise warrant that the information available on or through our Website will be correct, accurate, timely, or otherwise reliable.

Fluent Language reserves the right at our sole discretion to change any content, software, and other items used or contained in our Website or Services at any time without notice.

Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, recommendation, or any affiliation with our Website by third parties or by any of the equipment or programming associated with or utilized by our Services.

Unlawful Activity

We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including, but not limited to, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, email addresses, usage history, posted materials, IP addresses, and traffic information.

 Linking to Our Website

You may provide links to our Website provided that (a) you do not remove or obscure any portion of our Website by framing or otherwise, (b) your website does not engage in illegal or pornographic activities, and (c) you cease providing links to our Website immediately upon our request. 

Links to Other Websites

Our Website may from time to time contain links to third-party websites. Inclusion of links for any website on our Website does not mean that we endorse, guarantee, warrant, or recommend the services, information, content, and/or data of such third-party websites.
Fluent Language has no control over the legal documents and privacy practices of third-party websites; you access any third-party websites at your own risk. Payments

You represent and warrant that if you are purchasing something from us, (i) any payment information you supply is true and complete, (ii) charges incurred by you will be honored by your bank or credit card company, (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes, and (iv) if your initial payment method is dishonored, you will still pay the incurred charges, including any surcharge we may incur due to the dishonored payment.

Indemnification

You agree to indemnify, defend, and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third-party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates free from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of our Website or Services.

Severability and Survival

Should any part of this Agreement be held invalid or unenforceable, that portion will be construed consistent with applicable law and the remaining portions will remain in full force and effect. To the extent that any Content is in conflict or inconsistent with this Agreement, this Agreement will take precedence. Our failure to enforce any provision of this Agreement will not be deemed a waiver of such a provision, nor of the right to enforce such a provision. Our rights under this Agreement will survive any termination of this Agreement.

Changes to Our Terms and Conditions

We reserve the right to change these Terms and Conditions at any time by giving you advance notice of the changes by email or in writing. We will also post these changes on our website. These changes will become effective 30 days after receipt of the notice. To avoid doubt, no unilateral amendment will retroactively change agreed dispute-resolution provisions of these Terms and Conditions, if any, including, for example, arbitration provisions for then-pending disputes unless the parties expressly agree otherwise. Your continued use of our Website, Services, and Products after any change to these Terms and Conditions and our notifying you will constitute your acceptance of such change. If you do not agree with the changes to these Terms and Conditions, you can choose to discontinue the use of our Website, Services, and Products.
